Key Responsibilities

• Draft, review, and file complex SEC disclosures, including 10-Ks, 10-Qs, 8-Ks, and S-1s.
• Provide strategic legal advice on capital market transactions, including IPOs, SPACs, and private placements.
• Counsel internal stakeholders on securities compliance issues and investor communications.
• Interpret federal securities laws and regulations, including relevant U.S. federal laws governing securities offerings and public disclosures.
• Partner with cross-functional teams on ESG reporting, insider trading policies, and proxy statements.
• Monitor shifts in financial regulations and proactively communicate their impact to clients.
• Lead legal due diligence for acquisitions and financial audits.

What You Bring

• A licensed attorney with 8+ years of experience focused on securities law, capital markets, or public company legal compliance.
• Deep knowledge of U.S. federal securities regulations and financial reporting standards.
• Proven experience with SEC filings and disclosures.
• Ability to translate legalese into clear, engaging communication.
• Strong critical thinking blended with a good dose of creative problem-solving.
• Comfort working autonomously in a remote environment, juggling multiple projects.
• Bonus points if you’ve worked with startups, tech companies, or innovative financial institutions.
